Responsibilities:
- Provide legal advice on investment strategies and transactions, focusing on US markets.
- Draft, review, and negotiate investment agreements, fund documents, and related contracts.
- Ensure compliance with federal and state securities laws and regulations.
- Conduct legal research on investment regulations and family office governance.
- Advise on risk management and liability issues related to investments and operations.
- Collaborate with external counsel on complex legal matters, including handling CFIUS examinations and advising/ managing shareholder class actions
- Advise on HR compliance issues.
- Assist in structuring private equity and venture capital transactions.
- Support tax planning and compliance for investment entities.
- Develop and implement internal policies and procedures to ensure legal compliance.
- Conduct training sessions for staff on legal issues relevant to investments.
- Must be an admitted lawyer in the US.
Requirements:
- Admitted to practice law in Florida, Massachusetts, or New York.
- 8+ years of experience in corporate law, investment law, or related fields.
- Experience in private equity or venture capital law.
- Familiarity with cross-border investment issues.
- Knowledge of estate planning and tax implications for high-net-worth individuals.
- Strong understanding of family office structures and investment strategies.
- Excellent negotiation, drafting, and analytical skills.
- Ability to work independently and collaboratively within a team environment.
- Strong communication skills, with the ability to explain complex legal concepts clearly.
